Overview & Acceptance of Terms
Abak Company Limited is a company incorporated and operating under the laws of Ghana, with its principal office at HQ1 Anunsah Clottey Street, Kaneshie Market, Accra, Ghana (Digital Address: GA-262-1811). We are engaged in the importation, distribution, and cold storage of premium frozen food products.
By placing an order, engaging our services, entering into a supply agreement, or conducting any business transaction with Abak Company Limited, you ("the Client," "Customer," or "you") confirm that you have read, understood, and agreed to be bound by these Terms and Conditions in full.
Definitions
In these Terms and Conditions, the following definitions apply:
- "Abak" / "we" / "us" / "our" — Abak Company Limited, its directors, employees, agents, and representatives.
- "Client" / "Customer" / "you" — Any individual, business, restaurant, hotel, caterer, retailer, or entity that purchases or engages with our products or services.
- "Products" — All frozen food items, including poultry, seafood, red meat, and related food products supplied by Abak.
- "Services" — Cold storage, logistics support, supply consultancy, and any ancillary services provided by Abak.
- "Order" — A request by you to purchase Products or Services from Abak, whether placed by telephone, WhatsApp, email, or in person.
- "Contract" — The agreement formed between you and Abak upon confirmation of an Order or signed supply agreement.
- "Cold Chain" — The temperature-controlled supply chain maintained from product origin through to delivery.
- "Working Day" — Monday through Saturday, 8:00am to 6:00pm Ghana Standard Time, excluding public holidays.
Use of Our Services
Our Products and Services are intended for lawful commercial and personal use only. By engaging with Abak, you agree that you will:
- Provide accurate, complete, and current information when placing Orders or engaging our Services.
- Use our Products only for their intended purpose — consumption or resale within the food supply chain — and in compliance with all applicable Ghanaian food safety regulations.
- Not misrepresent your identity, business, or the intended use of Products purchased from us.
- Comply with all applicable laws and regulations governing the handling, storage, and sale of frozen food products in Ghana.
- Not use our services in any manner that could damage, disable, or impair our operations or reputation.
We reserve the right to refuse service to any individual or entity at our sole discretion, including where we have reasonable grounds to believe that our Products or Services will be misused or that a client poses unacceptable commercial or reputational risk.
Orders & Supply Arrangements
4.1 Placing an Order
Orders may be placed by telephone, WhatsApp, email, or in person at our Kaneshie Market premises. An Order constitutes an offer to purchase and is not binding on Abak until we confirm acceptance. We reserve the right to decline any Order at our discretion.
4.2 Order Confirmation
Upon accepting your Order, we will confirm availability, pricing, and estimated delivery or collection timescale. Any Order confirmation communicated by our team (verbally or in writing) constitutes a binding agreement for supply.
4.3 Minimum Orders
Minimum order quantities may apply depending on the product and client type. For business clients, orders are typically fulfilled in carton quantities. We reserve the right to set minimum order thresholds at our discretion and will communicate these clearly when relevant.
4.4 Product Availability
All Products are subject to availability. We endeavour to maintain adequate stock levels, but availability may be affected by factors including import logistics, customs clearance timelines, or high demand. We will notify you promptly if a product is unavailable and offer suitable alternatives where possible.
4.5 Order Amendments & Cancellations
Orders may be amended or cancelled prior to dispatch, subject to our agreement. Once an Order has been dispatched, cancellation is not permitted. Cancellation requests must be communicated to our team as promptly as possible by calling +233 24 729 8551 or +233 50 496 7111.
Payment Terms
5.1 Accepted Payment Methods
We accept the following payment methods:
- Mobile Money (MTN MoMo, AirtelTigo Money, Vodafone Cash)
- Bank Transfer (to Abak Company Limited's designated business account)
- Cash (for in-person transactions at our premises)
- Invoice settlement (for approved business accounts with agreed credit terms)
5.2 Payment Due
Unless a formal credit agreement has been established, payment is due in full prior to or upon delivery of Products. We reserve the right to withhold dispatch of any Order until full payment has been received and confirmed.
5.3 Credit Terms
Credit terms may be offered to established business clients at our sole discretion, following a satisfactory assessment of the client's payment history and creditworthiness. Agreed credit terms will be documented in a separate written agreement. Abak reserves the right to withdraw credit terms at any time if payment obligations are not met.
5.4 Late Payment
Invoices not settled by the agreed due date may attract a late payment fee. Continued non-payment may result in suspension of supply and referral to a collections process. We reserve the right to offset outstanding amounts against future credits or deposits held.
5.5 Pricing
All prices are quoted in Ghana Cedis (GHS) unless otherwise stated. Prices are subject to change without prior notice, reflecting fluctuations in international market rates, exchange rates, import duties, and logistics costs. The price confirmed at the time of Order acceptance shall govern that transaction.
Delivery & Collection
6.1 Delivery Service
We offer delivery within Accra and surrounding areas, and to other regions of Ghana for bulk orders. Delivery coverage and timescales will be confirmed at the time of Order. Delivery charges, where applicable, will be communicated prior to Order confirmation.
6.2 Cold Chain During Delivery
Abak Company Limited is committed to maintaining the cold chain throughout delivery. All deliveries are transported in refrigerated or insulated vehicles to preserve product integrity at the correct temperature. Our liability for product quality ends at the point of delivery and acceptance by the Client.
6.3 Delivery Timescales
Estimated delivery timescales are provided in good faith but are not guaranteed. Delays may occur due to traffic, logistics, weather, or circumstances beyond our control. We will endeavour to notify you of any significant delays.
6.4 Acceptance of Delivery
Upon receipt of delivery, the Client (or their authorised representative) is responsible for:
- Inspecting the Products for any visible damage, temperature irregularity, or packaging defects prior to signing any delivery documentation.
- Reporting any issues immediately to our delivery personnel and to our team by calling +233 24 729 8551.
- Signing delivery documentation confirms acceptance of the Products in satisfactory condition, unless discrepancies are noted at the time of delivery.
6.5 Click & Collect
Clients may collect Orders in person from our premises at HQ1 Anunsah Clottey Street, Kaneshie Market, Accra (Digital Address: GA-262-1811) during our operating hours (Monday – Saturday, 8:00am – 6:00pm). Please confirm your Order is ready before visiting.
Product Quality & Returns
7.1 Quality Assurance
All Products supplied by Abak Company Limited are sourced from internationally certified suppliers and are subject to quality inspection upon arrival at our facility. We comply with Ghana Food & Drugs Authority (FDA) regulations governing imported frozen food products.
7.2 Defective or Damaged Products
If you receive a Product that is defective, damaged, or does not meet the quality standards described, you must:
- Notify us immediately — and no later than 24 hours after receipt — by calling +233 24 729 8551 or +233 50 496 7111.
- Retain the Product in its original condition and packaging and do not consume, discard, or further process it before we have reviewed the claim.
- Provide photographs and a description of the defect where possible to facilitate our investigation.
7.3 Returns & Remedies
Where a valid quality claim is accepted by Abak, we will offer one of the following remedies at our discretion:
- Replacement of the affected Product(s) at no additional cost.
- A credit note applicable to your next Order.
- A full or partial refund, depending on the nature and extent of the issue.
Returns are not accepted for Products that have been stored improperly after delivery, used beyond their stated expiry date, or for reasons not attributable to a defect in the Product at the time of supply.
7.4 Expiry Dates & Storage Responsibility
The Client is responsible for managing and monitoring the shelf life of Products after delivery and for storing Products at the correct temperature. Abak is not liable for quality deterioration resulting from improper storage after delivery.
Limitation of Liability
To the fullest extent permitted by Ghanaian law:
- Abak's total liability to you in connection with any single transaction or claim shall not exceed the amount paid by you for the specific Products or Services giving rise to the claim.
- Abak shall not be liable for any indirect, consequential, incidental, or special loss or damage arising from the supply or failure to supply our Products or Services, including loss of profit, business interruption, or reputational damage.
- We are not liable for any delay or failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to customs delays, port disruptions, acts of government, natural disasters, or supply chain disruptions at the country of origin.
Intellectual Property
All content on the Abak Company Limited website, marketing materials, branding, logos, product descriptions, and business documentation ("Intellectual Property") is the exclusive property of Abak Company Limited or is used under licence.
You may not reproduce, distribute, modify, or use any of our Intellectual Property for commercial purposes without our prior written consent. Any unauthorised use may constitute an infringement of our intellectual property rights and may be subject to legal action.
Product names, brands, and trademarks associated with third-party suppliers remain the property of their respective owners.
Governing Law & Dispute Resolution
These Terms and Conditions and any Contract arising from them are governed by and construed in accordance with the laws of the Republic of Ghana. Any dispute, claim, or controversy arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.
